NEW YORK - Nyenta -- Tutanota LLC ("Purchaser") announces an amendment to its previously-announced tender offer (the "Offer") to acquire up to 350,000 shares (the "Shares") of Alphabet Inc. for $180.00 per Share (the "Offer Price"), less applicable dividends, such that the Offer will expire 5:00 p.m., New York City time, on Friday, February 14, 2025, unless further extended or earlier terminated (the "Expiration Date"). The Offer was previously scheduled to expire at 5:00 p.m., New York City time, on Friday, April 11, 2025. All other terms and conditions of the Offer remain unchanged.

The Offer is subject to closing conditions set forth in the Offer to Purchase, dated September 3, 2024, including the closing price of the Shares on the NYSE on the last full trading day prior to the Expiration Date exceeding the Offer Price and Purchaser obtaining financing necessary to fund Purchaser's financial obligations arising from the Offer.
